Basically, Sony is going to reboot Spider-Man again (this time with a younger actor) and he will be a part of Marvel's Cinematic Universe. According to Variety Marvel's Kevin Feige is not involved in the Spider-Man spinoff films.

- The studio is still moving forward with the Spider-Man villain-centric “Sinister Six,” and “Venom” spinoff, as well as a film that features female characters in the “Spider-Man” universe. “The Amazing Spider-Man 3″ has been cancelled. While Marvel’s Kevin Feige is involved with Sony’s new “Spider-Man” films, he is currently not expected to be creatively involved with the spinoffs, sources say. -

But what are the terms of the deal? Surprisingly, it's not costing either studio a dime. Marvel and Sony realized it would be better for all if they just shared the character. Sony will get their solo Spidey movies, which may have cameos from other Avengers; and Marvel gets to have him in the big team up movies, with possible appearances in their heroes' solo outings.
As The Hollywood Reporter said, its all very "quid pro quo" with no money changing hands. In other words, each studio gets the added benefits of having their characters appears in the other franchises.
